We can provide advice about internal disputes within Spanish companies, including advising how a shareholder or creditor can challenge decisions made by a Spanish company.

We can also advise about Joint Venture agreements with Spanish partners, mergers and acquisitions with Spanish companies and European Economic Interest Groups (EEIG).

Setting Up a Business
If you are thinking about setting up a business in Spain, or a Spanish branch of an existing business, our team can provide you with valuable advice about the different types of business structures that exist under Spanish Law, and the advantages and disadvantages of each. You can then choose the correct business structure to meet your own business needs. 

After your decision, our team will be able to guide you through the process of forming the Company and make sure that all of the legal requirements are fulfilled in accordance with Spanish Law which include:

  • Checking the uniqueness of any chosen Company name against existing names at Company House.
  • Obtaining the CIF number, a unique Company Tax Number which is required.
  • Drafting the Deed of Incorporation, Articles of Association and any other necessary documents depending on your particular circumstances and arranging for them to be notarised and registered.
  • Paying the necessary taxes on your behalf if instructed to do so in accordance with a granted Power of Attorney
  • Drafting a Power of Attorney so that your affairs can be properly managed on your behalf in the way that you require.
  • Providing advice about any Local Licences which must be obtained in order to begin business in Spain.  In particular, the opening licence "Licencia de Apertura" which is granted by the Town Hall following an official inspection of the premises by a Town Hall Architect.  If any problems are highlighted, we will advise you how they can be rectified swiftly.
  • Once your commercial needs have been established our team can provide you with legal advice on obtaining a favourable tax position and help you to manage your company affairs in the most tax-efficient way.
